These Terms explain the conditions that apply when you use our website or engage Web Masters for digital marketing, website development, and related services.
Web Masters Corp provides digital business solutions to businesses in the United States, Canada, and other markets where our services are available.
Our services may include:
The availability, scope, features, deliverables, fees, and service requirements will depend on the proposal or agreement applicable to each client.
You may use our website for lawful business and informational purposes.
You agree not to:
We may restrict or suspend access to the website where reasonably necessary to protect our systems, users, or business interests.
Information provided on our website is general information about our services and is not a binding offer unless expressly stated otherwise.
Project pricing, service packages, timelines, deliverables, and payment terms will be established through a written proposal, order, or service agreement where applicable.
A proposal may specify the services included and excluded; initial setup fees and recurring charges; advertising budgets and third-party costs; project milestones and estimated completion dates; client responsibilities and approval requirements; and contract duration, renewal terms, and cancellation procedures.
Unless otherwise stated in the applicable agreement, additional work, out-of-scope requests, new integrations, or significant revisions may require additional fees.
Clients agree to pay the fees set out in their accepted proposal, invoice, or service agreement.
Depending on the service, fees may include one-time setup charges, monthly management fees, hosting fees, usage-based charges, project milestones, or other agreed costs.
Overdue payments may result in reasonable collection measures or suspension of affected services where permitted by the agreement and applicable law.
Taxes, including applicable sales taxes, may be added to invoices where required.
Some Web Masters services are provided on a recurring basis, including SEO, advertising management, social media management, hosting, maintenance, and certain software or communications services.
The applicable agreement determines the service term, renewal arrangements, cancellation notice, and any minimum commitment.
Where a service is month-to-month, cancellation must be submitted using the process specified in the applicable agreement. Any required notice period and final billing will be handled according to that agreement and applicable law.
Cancellation of Web Masters' management services does not automatically cancel third-party subscriptions, advertising accounts, domain registrations, hosting plans, or software services. Those services may require separate action.
Fees for advertising spend or third-party commitments already incurred remain subject to the relevant provider's terms.
Website development services are delivered according to the agreed scope and project requirements.
Clients are responsible for providing accurate business information, approved content, and required materials; reviewing design drafts and testing functionality within reasonable timeframes; confirming that they have the necessary rights to supplied images, text, logos, and other materials; identifying relevant technical, security, accessibility, or regulatory requirements before work begins; and maintaining appropriate access to their domains, hosting accounts, and third-party services.
Delays in receiving materials, approvals, credentials, or feedback may affect estimated delivery dates.
Unless otherwise agreed in writing, requests beyond the original project scope may be subject to additional charges.
No particular website launch date, search engine ranking, conversion rate, or business result is guaranteed.
SEO, local SEO, and GEO involve ongoing work intended to improve the discoverability, relevance, structure, and presentation of a business's online information.
Search engines and other digital platforms independently determine how content is indexed, ranked, displayed, cited, or recommended.
Web Masters does not guarantee specific Google, Bing, or other search engine rankings; inclusion in search results, map listings, AI-generated answers, or recommendation systems; a specific amount of organic traffic, leads, calls, sales, or revenue; that search engine updates or competitor activity will not affect performance; or that previously achieved rankings or visibility will be maintained.
We may recommend technical changes, content improvements, business listing updates, citations, or other optimization activities. Results depend on many factors, including competition, website history, client implementation, platform changes, and market conditions.
SEO and GEO performance should be evaluated using relevant data and reasonable timeframes rather than a guarantee of any particular outcome.
Web Masters may create, manage, or optimize advertising campaigns through third-party platforms such as Google Ads, Meta Ads, and other advertising networks.
Clients are responsible for providing accurate information about their business, offers, products, services, target markets, and applicable industry restrictions.
Unless expressly included in a written agreement, the client's advertising budget is separate from Web Masters' management fees.
Advertising platforms control their own policies, approvals, bidding systems, account restrictions, reporting, and delivery. We cannot guarantee ad approval, uninterrupted campaign delivery, specific click costs, lead volumes, conversions, or return on advertising spend.
We are not responsible for platform outages, policy changes, account suspensions, invalid traffic, changes in advertising costs, or other platform decisions outside our reasonable control.
We will make reasonable efforts to manage campaigns according to the agreed scope, but campaign performance can vary.
Certain services require access to client-owned or client-authorized accounts, including websites, hosting, domain registrars, Google Business Profile, Google Analytics, advertising accounts, social media platforms, and communication systems.
Clients represent that they have authority to grant the requested access.
Clients should maintain ownership and appropriate administrative control over their business assets and provide only the access reasonably required for the services.
Unless otherwise agreed, clients remain responsible for their account credentials, billing arrangements with third-party providers, account security, and compliance with the terms governing those accounts.
Any transfer, removal, or modification of access upon termination will be handled in accordance with the applicable agreement and the capabilities of the relevant platform.
Where offered, AI phone receptionist and automation services may answer calls, provide business information, capture caller details, summarize conversations, route inquiries, and perform other tasks according to the agreed configuration.
These services may depend on third-party AI systems, telecommunications providers, integrations, calendars, and other external technologies.
Clients acknowledge that automated systems may misunderstand speech, produce inaccurate information, fail to recognize context, experience interruptions, or require human intervention.
Unless specifically agreed in writing, AI phone receptionist services are not a replacement for emergency services, professional judgment, licensed advice, or human oversight where required.
Clients are responsible for providing accurate business information, approving call-handling rules, determining appropriate disclosures, and ensuring their use of automated calling or recording technologies complies with applicable laws.
No guarantee is made that every call will be answered, every message will be captured accurately, or every integration will operate without interruption.
Clients retain responsibility for the accuracy, legality, and appropriateness of information supplied for use in websites, advertising, social media, business listings, and other marketing materials.
Clients represent that they have the necessary rights, permissions, and authorizations to provide and use such materials.
Clients are responsible for ensuring that their products, services, claims, offers, testimonials, promotions, and business practices comply with applicable laws and industry requirements.
For healthcare, financial, legal, and other regulated industries, clients must review and approve relevant content and ensure that professional, licensing, privacy, advertising, and disclosure requirements are met.
Web Masters may request clarification, decline to publish material, or recommend revisions where content presents legal, security, reputational, or platform-policy concerns.
Unless separately agreed, Web Masters does not provide legal, tax, financial, or medical advice.
The Web Masters website, including its original text, graphics, designs, branding, and other content, is owned by Web Masters or its licensors unless otherwise indicated. It may not be reproduced or used commercially without permission, except as permitted by law.
For client projects, ownership and licensing of deliverables will be determined by the applicable agreement.
Clients are responsible for ensuring that materials they supply do not infringe the rights of others.
Each party should take reasonable steps to protect confidential business information received from the other party in connection with a project.
Confidential information should be used only for legitimate purposes connected with the relationship, subject to applicable law and any separate confidentiality agreement.
Personal information is handled according to our Privacy Policy and applicable privacy requirements.
Clients remain responsible for the privacy notices, consents, permissions, and disclosures required for information they collect through their own websites, campaigns, and business operations.
Our services may depend on third-party hosting providers, software vendors, advertising platforms, social networks, telecommunications providers, analytics services, AI tools, and other external systems.
Those services are subject to their own terms, availability, fees, policies, and technical limitations.
Web Masters does not own or control all such services and cannot guarantee their continued availability, compatibility, pricing, security, or functionality.
Where a third-party service changes or becomes unavailable, we may recommend a reasonable alternative or adjustment. Any additional work or costs will be addressed under the applicable agreement.
Web Masters provides digital marketing, technology, and related professional services. The effectiveness of those services depends on circumstances beyond our complete control.
We do not guarantee a specific number of customers, leads, appointments, calls, sales, revenue, profit, search rankings, advertising results, or other commercial outcomes.
Any examples, case studies, estimates, projections, or performance figures presented on our website or in marketing materials are illustrative and should not be interpreted as a promise that a particular client will achieve the same results.
Business decisions remain the responsibility of the client.
To the extent permitted by applicable law, our website and any general information made available through it are provided on an “as is” and “as available” basis.
We do not warrant that the website will always be available, error-free, uninterrupted, or free from harmful components.
Services are provided according to the applicable proposal or agreement. Any express warranties or service commitments included in that agreement remain subject to their stated terms.
Nothing in these Terms excludes a warranty, guarantee, or legal right that cannot lawfully be excluded or limited.
To the maximum extent permitted by applicable law, Web Masters will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, data, rankings, or advertising performance arising from or relating to website use or services.
To the extent permitted by applicable law, Web Masters' total aggregate liability arising from a particular service engagement will not exceed the fees paid or payable to Web Masters for the specific services giving rise to the claim during the three months immediately preceding the event giving rise to the claim.
This limitation does not apply to the extent a liability cannot lawfully be excluded or limited, or where a different mandatory rule applies under applicable law. Any separately signed agreement may establish different liability provisions.
Clients should maintain appropriate backups, account security, business continuity measures, and insurance for their operations.
To the extent permitted by applicable law, clients agree to indemnify and hold harmless Web Masters and its personnel from third-party claims, losses, liabilities, and reasonable legal expenses arising from:
This provision applies only to the extent the claim results from the relevant client conduct and does not eliminate rights or responsibilities that cannot legally be excluded.
We may suspend or terminate website access or services where permitted by the applicable agreement and law, including where necessary to address non-payment, unlawful activity, security threats, misuse, or material contractual breaches.
Where appropriate, we will provide notice and an opportunity to remedy the issue.
Upon termination, outstanding fees and other obligations will be handled under the applicable agreement. Access to third-party accounts, deliverables, backups, hosting, and other assets will be governed by the relevant contractual terms and any applicable legal obligations.
Neither party will be responsible for delays or failures caused by circumstances beyond its reasonable control, to the extent permitted by law.
Such circumstances may include natural disasters, power or telecommunications failures, widespread internet outages, cyberattacks, government actions, labor disruptions, third-party platform outages, or other events that could not reasonably be prevented.
The affected party should take reasonable steps to reduce the impact and resume performance when practicable.
This provision does not excuse payment obligations already due or override mandatory legal requirements.
The applicable law and dispute-resolution process for a client engagement will be determined by the relevant written agreement and applicable law.
If no separate agreement addresses these matters, the parties will seek to resolve disputes through good-faith discussions before pursuing available legal remedies.
Nothing in these Terms removes a mandatory right or protection available under applicable consumer, privacy, or other legislation.
We may update these Terms from time to time to reflect changes in our services, website, business operations, or legal requirements.
Updated Terms will be posted on this page with a revised “Last Updated” date.
Changes to an existing client engagement will be governed by the applicable agreement and any legally required notice or acceptance process.
